These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or the "Business") and AZcount regarding your use of the AZcount website, applications, and services (together, the "Service"). Please read them carefully. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

AZcount is a software tool that helps small food and beverage businesses understand their numbers. It connects to your point-of-sale and payment data (such as Square), lets you upload receipts and enter inventory counts, and computes figures like per-item cost, estimated daily profit, inventory levels, and sales and staff analytics. AZcount is an informational and management tool only.

The Service — including all software, source code, design, layout, text, graphics, and the "AZcount" name and logo — is owned by AZcount and protected by copyright, trademark, and other laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business while you comply with these Terms. No other rights are granted, and nothing in these Terms transfers ownership of the Service or any of our intellectual property to you.

The Service is currently offered free of charge during an early-access period. We may introduce paid plans or change pricing in the future. If we do, we will give you notice and the opportunity to review any fees before they apply to you. You will never be charged without your agreement.

8. Important disclaimer — not financial, accounting, or tax advice

AZcount provides estimates and informational figures to help you make your own decisions. It is not an accountant, bookkeeper, auditor, or financial, legal, or tax advisor, and its outputs are not professional advice. Numbers such as costs, profit, margins, inventory, and analytics are computed from the data available to us and rely on the accuracy of that data and of your inputs; they may be incomplete, delayed, or incorrect. You are solely responsible for verifying figures and for your own business, financial, tax, and operational decisions. Always consult a qualified professional before relying on any number for accounting, tax, or legal purposes.

9. Service provided "as is"; no warranty

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any figure it produces is accurate or complete. The Service depends on third-party services (such as Square and our hosting provider) that we do not control.

To the maximum extent permitted by law, AZcount and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the three (3) months before the event giving rise to the claim, or (b) fifty U.S. dollars (US $50).

You agree to defend, indemnify, and hold harmless AZcount and its operator from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Data, your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including any agreement with a franchisor or platform).

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. You may request a copy or deletion of Your Data as described in our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

The Service works with third-party services such as Square. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. You are responsible for maintaining any third-party accounts you connect.

14. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Michigan, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
